Item 1.01 Entry into a Material Definitive Agreement
On June 17, 2019, the Company entered into Amendment No. 1 to Amended and Restated Credit Agreement (the “Amendment”), which amends the Amended and Restated Credit Agreement dated as of July 30, 2018 (the “Term Loan Credit Agreement”), among the Company, as Borrower, the financial institutions party thereto, as Banks, and JPMorgan Chase Bank, N.A., as Administrative Agent. The Amendment increases the term loan facility provided under the Term Loan Credit Agreement from $300 million to $400 million and extends the maturity of the term loan facility from July 30, 2020 to June 17, 2021. As of June 17, 2019, the outstanding principal balance of the term loan was $400 million. The Amendment is filed as Exhibit 10.1 to this Form 8-K and is incorporated herein by reference.
