(b) On August 5, 2010, Mr. Per G.H. Lofberg notified XenoPort, Inc. (the “Company”) of his decision to resign from the Board of Directors of the Company (the “Board”) and as a member of the Compensation Committee of the Board. Mr. Lofberg advised the Company that his decision to resign from the Board and the Compensation Committee was not because of any disagreement with the Company on any matter relating to its operations, policies or practices. Mr. Lofberg is resigning so that he can devote more time to his new position as President of the Pharmacy-Benefit Management Business of CVS Caremark Corp.
