Item 1.01 Entry into a Material Definitive Agreement
On March 3, 2005, the Compensation Committee of the Board of Directors of Overstock.com, Inc. (the "Company") increased the annual base salary of Russell (Tad) Martin, Vice President of Merchandising and Operations of the Company, to $100,000, effective January 1, 2005. Mr. Martin is a named executive officer (as defined in Item 402(a)(3) of Regulation S-K) of the Company. The Company is not a party to an employment agreement with Mr. Martin.
