Explanation of Responses:

1. Performance Shares awarded June 14, 2021. The participant earned 6,389 shares based on the achievement of certain pre-established performance goals during the 2021 - 2023 fiscal years, all of such shares vested upon issuance.

2. The number of shares reported in this Form 4 account for the one-for-nine Reverse Stock Split effected by the Issuer on December 11, 2023. No fractional shares were issued in connection with the Reverse Stock Split. Any fractional shares that would have resulted from the Reverse Stock Split were rounded up to the nearest whole number.

3. All of the sales reported on this Form were effected pursuant to an approved Rule 10b5-1 trading plan. Represents sale to cover tax obligations associated with the vesting of shares of Restricted Stock.
