We have acted as counsel to Transmeridian Exploration Incorporated, a Delaware corporation (the “Company”), in connection with the registration, pursuant to a registration statement on Form S-3 (the “Registration Statement”) filed with the Securities and Exchange Commission under the Securities Act of 1933, as amended (the “Act”), of the resale from time to time, as set forth in the Registration Statement and the prospectus contained therein (the “Prospectus”), of up to 1,818,182 shares of the common stock, par value $0.0006 per share, of the Company (“Common Stock”).
