Item 3.01. | Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing |
As previously disclosed, on November 9, 2007, InPhonic, Inc., a Delaware corporation (the “Company”), received a notice from The NASDAQ Stock Market, Inc. (“NASDAQ”) indicating that the Company’s securities will be delisted from NASDAQ on November 20, 2007, pending an appeal.
On December 12, 2007, NASDAQ filed with the Securities and Exchange Commission, a Notification of Removal from Listing and/or Registration under Section 12(b) of the Securities Exchange Act of 1934 on Form 25-NSE. Upon the filing of the Form 25-NSE by NASDAQ, the Company’s common stock was delisted from NASDAQ.
The Company’s securities will not be immediately eligible to trade on the OTC Bulletin Board or in the “Pink Sheets.” The securities may become eligible in the “Pink Sheets” if a market maker makes application to register in and quote the security in accordance with SEC Rule 15c2-11, and such application is cleared. As previously disclosed, the Company believes that its currently outstanding common stock has no value.
