2. Includes 399,137 shares previously held directly by the reporting person and transferred to The Errol Ginsberg and Annette R. Michelson Family Trust dated October 13, 1999 in December 2014. This change in form of ownership was not reflected in the Form 4s filed by the reporting person after the date of such change and prior to the date of the filing of this Form 5.
