3. These securities are held by the Reporting Person's children. The Reporting Person disclaims beneficial ownership of all securities held by his children, and this report should not be deemed an admission that the Reporting Person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.

4. On May 25, 2022, the Reporting Person was granted 25,000 restricted stock units, which vest in three substantially equal annual installments beginning on the grant date.
