Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On June 8, 2020, the Board of Directors of Catasys, Inc, a Delaware corporation (the “Company”) approved changes to the Company’s by-laws to permit the Company‘s board of directors to hold meetings of the Company’s stockholders by means of remote electronic communication to enable the Company’s annual meeting of stockholders for 2020 to be held in “virtual” format.
The Company’s by-laws, as so amended and restated, are included as Exhibit 3.1 and the foregoing summary is qualified in all respects by reference to such exhibit.
