On May 28, 2015, Zimmer Holdings, Inc. (“Zimmer”) issued a press release announcing that it has finalized agreements with buyers to divest certain assets in the United States in furtherance of its proposed acquisition of Biomet, Inc. (“Biomet”). A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
