The Company’s response set forth below corresponds to the comments in the Comment Letter. For your convenience, we have included your original comments from the Comment Letter (in italics) and followed them with our response.
| 1. | | We note your responses to prior comments 1, 2 and 3 and the accompanied SAB 99 analysis. However, it does not appear that your analysis provides sufficient insight into whether the accounting errors would have significantly altered the total mix of information available to a reasonable investor. Your analysis does not clearly indicate how you have considered the total mix of information in explaining why the errors are not important to investors despite the fact that they are quantitatively material. Such an analysis should address why such significant impacts on operating income, net income and earnings per share are not material to an investors understanding of the Company’s results. Note that the qualitative factors as indicated within SAB 99 are not considered an exhaustive list of factors in which you should solely rely on in determining whether the errors are material to a reasonable investor. It should also be noted that while the indicators in SAB 99 may be a useful tool in your analysis, they were not intended for situations in which a quantitatively significant error is being analyzed for materiality. Therefore, you should consider all of the substantive factors affecting the total mix of information available to a reasonable investor based upon your specific facts and circumstances. |

Company Response:
Our September 25, 2008 response letter set forth the qualitative factors as to why we believed the fuel tax adjustments were not material. However, your comment requests that we further expand our analysis to indicate how we considered the total mix of information in explaining our reasoning as to “why the errors are not important to investors despite the fact that they are quantitatively material.” Set forth below are the reasons we believe that the fuel tax adjustments are not material to a reasonable investor.
| • | | The fuel tax adjustments were related to United Fuel & Energy Corporation (“UFE”) for the fiscal years ended 2001 through 2004. It was not until February 7, 2005 when we acquired UFE that the operations of UFE were incorporated into our filings through a reverse merger. As a result of the reverse merger, UFE became the accounting acquiror and the financial statements for 2005 and prior periods were recast to reflect UFE’s financial results. Prior to that time, we were a development stage company with very limited operations. Our public filings for the quarters ended and years ended 2001 through 2004 consisted only of our development stage company operations and UFE was not a part of these operations until the merger was consummated in 2005.1 |

| • | | Our directors and executive officers own a substantial portion of our shares and as a result, we are a closely held company and our shares are thinly traded on the OTC Bulletin Board.2 For the years ended 2005 through 2006, our shareholder base ranged between 139 to 163 shareholders and our directors and executive officers owned between 41% to 55% of our shares. Of such percentage ownership, our current Chairman of the Board owned approximately 63% of our outstanding shares.4 Accordingly, the majority of our shares were held by our directors and executive officers. |

| • | | As set forth in the table below and as more fully expanded in Appendix A, the impact of the fuel tax adjustments was not material for the years 2002 through 2006 and for the quarterly periods of 2005 through 2006 (i.e., the only quarterly periods filed that included the operating results of UFE). Of particular importance to us is the fact that the fuel tax accruals made during 2005 and 2006 did not have a significant impact on our GAAP operating result metrics, (i.e., revenue, cost of sales, gross profit, operating expenses and operating income). We believe the impact on both net income and earnings per share (basic and dilutive) are not as quantitatively meaningful since the adjustments are applied to a mathematically low net income or net loss in those respective years. In addition, as previously noted, for the years 2002 through 2004, the operations of UFE were not publicly reported. It was only the result of reverse acquisition accounting that UFE’s results were reflected for these years. However, we have consistently disclosed EBITDA values in our guidance and earnings releases. For example, in an earnings guidance release during 2006 we stated: |
By presenting EBITDA, UFE intends to provide investors with a better understanding of its core operating results to measure past performance as well as prospects for the future. UFE evaluates operating performance based on several measures, including EBITDA, as UFE believes it is an important measure of the operational strength of its business. EBITDA is not necessarily a measure of UFE’s ability to fund its cash needs, as it excludes certain financial information when compared to “Net Income (Loss).” Users of this financial information should consider the types of events and transactions which are excluded.6

Company Response:
Though the fuel tax adjustments were not considered material, we believed that a discussion of the status of the fuel tax audit and related accruals in the Management’s Discussion and Analysis was useful disclosure since, prior to settlement, the audit represented an uncertainty. As noted, Item 303 of

Regulation S-K not only requires a discussion of liquidity, capital resources, and results of operations but also requires the company to “provide such other information that the company believes to be necessary to an understanding of its financial condition, changes in financial condition and results of operations (emphasis added).” Accordingly, the Company’s disclosure of the impact of the fuel tax adjustments in the discussion of its results of operations should not be construed as an admission by the Company that the impact of such fuel tax adjustments were material. Indeed, the Company respectfully submits that the disclosure rules do not preclude the Company from discussing items that may not be deemed material. In this instance, the Company believes that the disclosure of the impact of the fuel tax adjustment in Management’s Discussion and Analysis for the purpose of facilitating a better understanding of the Company’s results of operations does not lead to the conclusion that the Company’s financial statements need to be restated9.

Company Response:
Our policy has been to record the fuel tax on a net basis. Therefore, we generally do not present fuel tax within cost of sales. This policy is consistent with the fact that we attempt to pass the fuel tax expense along to our customers in our arrangements and thus believe that the fuel tax revenue and related expense are best presented on a net basis within our revenue caption. The fuel tax adjustments that were recorded as a result of the fuel tax audit process were presented as cost of sales in our statements of income for 2005 and 2006 since we were not able to retroactively pass through these costs to our customers and, therefore, we effectively incurred an incremental (not net) cost of doing business. We plan to clarify our fuel tax expense accounting policy in our 2008 Annual Report on Form 10-K as follows:
Taxes are assessed by various governmental authorities on many different types of transactions. The Company accounts for taxes collected from customers and remitted to governmental authorities in accordance with Emerging Issues Task Force (“EITF”) No. 06-3,How Taxes Collected From Customers and Remitted to Governmental Authorities Should Be Presented in the Income Statement (That Is, Gross Versus Net Presentation). The Company presents taxes on a net basis in its consolidated statement of operations.

Note 1:As disclosed in our Form 10-Q for the period ended September 30, 2006 (filed on November 13, 2006), we recorded an additional fuel tax accrual of $680 thousand that was based upon an estimate of potential tax assessments related to an ongoing tax audit that was not settled until the first quarter of 2007 (prior to the filing of our 2006 Form 10-K). Also, as disclosed in our Form 10-K/A for the period ended December 31, 2006 (filed on September 21, 2007) we reversed out approximately $211 thousand of our fuel tax audit reserve based upon the final tax audit assessment. Our September 25, 2008 letter to the Staff included a table on page 3 indicating that the 2006 fuel tax adjustment was $470 thousand; this was a rounded figure as compared to the actual figure of $469 thousand presented here.
