Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On November 17, 2005, Southern Connecticut Bancorp, Inc. (AMEX:SSE) (“Bancorp”) issued a press release indicating that Ms. Carlota I. Grate will be Senior Vice President and Chief Financial Officer of Bancorp, and its two wholly-owned subsidiaries, The Bank of Southern Connecticut, (TBSC), and The Bank of Southeastern Connecticut, (TBSEC), (In Organization), effective on or about November 30, 2005. The press release is attached hereto as Exhibit 99.1.
Ms. Grate is a Certified Public Accountant and is the former Director of Financial Reporting at MassMutual in Springfield, Massachusetts.
Bancorp anticipates that a change of control agreement will be executed between Bancorp and Ms. Grate, at which time the material terms of that agreement will be disclosed.
