ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On October 18, 2006, a subsidiary of Nova Biosource Fuels, Inc. (the “Company”) entered into an agreement with the Muskogee City-County Port Authority in Muskogee, Oklahoma for the lease of 28 acres in the Port of Muskogee Industrial Park for the construction of a 60 million gallon per year biodiesel refinery. The lease has an effective date of November 1, 2006 and provides for a ten year term with a four month inspection period and three ten year renewal options. The lease provides for rental payments of $70,000 per year with additional fees for cargo transported into and out of the port by rail or barge.
