At the Annual Meeting of Stockholders (the “Annual Meeting”) of Infinera Corporation (the “Company”) held on June 12, 2024, the Company’s stockholders approved the Company’s 2016 Equity Incentive Plan, as amended (the “2016 Plan”), which included increasing the number of shares authorized for issuance under the 2016 Plan by 7,100,000 shares.
A detailed summary of the 2016 Plan is contained in the Company’s proxy statement for the Annual Meeting filed with the Securities and Exchange Commission on May 17, 2024, and amended on June 4, 2024 (together, the “Proxy Statement”). The summary contained in the Proxy Statement does not purport to be complete and is qualified in its entirety by reference to the full text of the 2016 Plan, which is filed hereto as Exhibit 10.1, and is incorporated herein by reference.

At the Annual Meeting, the stockholders voted on the following four proposals and cast their votes as described below.
Proposal 1 - Approval of the Election of Three Class II Directors to the Company’s Board of Directors
The three individuals listed below were elected at the Annual Meeting to serve on the Board of Directors (the “Board”) for a three-year term expiring at the 2027 Annual Meeting of Stockholders or until their respective successors have been duly elected and qualified.
