On September29, 2005, Dawn M. Albery, LeapFrog Enterprises, Inc.’s principal accounting officer, notified us that she plans to resign from the company effective as of November11, 2005, following the filing of our Form 10-Q for the period ended September 30, 2005 with the Securities and Exchange Commission. Ms. Albery is leaving LeapFrog to pursue a management position with another company. The company is actively looking to replace Ms. Albery following her departure in November. Upon her departure and until such replacement is appointed, William B.Chiasson, the company’s Chief Financial Officer, will serve as principal accounting officer, and Ms. Albery’s duties will be handled by other members of the company’s finance department.
