In connection with the offering of the Class A Series 2002-A Asset Backed Notes, the Class B Series 2002-A Asset Backed Notes and the Class C Series 2002-A Asset Backed Notes (collectively, the "Notes") described in a Prospectus Supplement dated October 30, 2002, Mayer, Brown, Rowe & Maw rendered an opinion regarding certain tax matters and an opinion regarding the legality of the Notes. A copy of that opinion is filed as an exhibit to this report and is incorporated herein by reference.
