Item 8.01 Other Events.
On August 12, 2013, Advanced Cell Technology, Inc. (the “Company”) issued a press release regarding the election of members to its board of directors, a proposed reverse stock split, a proposed increase in the number of authorized shares of its common stock, and other matters to be acted upon at the Company’s annual meeting of shareholders to be held on October 22, 2013. A copy of the Company’s press release is attached hereto as Exhibit 99.1.
Additional Information and Where to Find It
The Company will file with the Securities and Exchange Commission (the “SEC”) and will furnish to stockholders of record on the record date for the annual meeting a definitive proxy statement in connection with the election of members to its board of directors, reverse stock split, increase in authorized shares of common stock, and other matters to be acted upon at the annual meeting.
