1. Grant of RSA subject to Reed's Inc. 2020 Equity Incentive Plan and applicable award agreement. Shares underlying RSA vest in 4 equal increments on each of February 1, 2021, May 1, 2021, August 1, 2021 and November 1, 2021 and are subject to forfeiture prior to vesting.
