AMERISOURCEBERGEN ANNOUNCES $250 MILLION
ACCELERATED SHARE REPURCHASE TRANSACTION
VALLEY FORGE, Pa. August 2, 2007 –AmerisourceBergen Corporation (NYSE: ABC) today announced it entered into an agreement effective today, August 2, 2007, to repurchase 5,445,436 shares of its common stock for $250 million in cash in an accelerated share repurchase transaction with Bank of America, N.A. at a price per share of $45.91. After today’s accelerated repurchase transaction, approximately $424 million remains available in the Company’s $850 million authorized repurchase program announced May 24, 2007. The shares repurchased by the Company from Bank of America will be held as treasury stock.
Under the terms of the agreement, Bank of America or its affiliates will subsequently purchase an equivalent amount of shares of the Company’s common stock in the open market, and such purchases are expected to be completed by the end of August 2007.
The shares repurchased by the Company are subject to a contingent purchase price adjustment based on the average market price of Company’s shares over the subsequent purchase period.
