Kerr-McGee Announces Expiration of Hart-Scott-Rodino Waiting Period
Oklahoma City, Aug. 1, 2006 - Kerr-McGee Corp. (NYSE: KMG) today announced that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, relating to the proposed merger of Kerr-McGee with a wholly-owned subsidiary of Anadarko Petroleum Corporation (NYSE: APC) expired at 11:59 p.m. EDT, on July 31, 2006.
The proposed merger was announced on June 23, 2006, and remains subject to approval by holders of a majority of Kerr-McGee’s outstanding common stock and the satisfaction or waiver of customary closing conditions set forth in the merger agreement. Under the terms of the merger agreement, Kerr-McGee stockholders will receive $70.50 per share in cash for each share of common stock.
