ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On September 16, 2013, PEDEVCO Corp. (the “Company”) issued a press release announcing an investor conference call scheduled to occur at 1:15 p.m. (Pacific Time) on September 16, 2013. A copy of the press release, which includes information on the conference call, is furnished as Exhibit 99.1 to this Form 8-K.

ITEM 8.01 OTHER EVENTS.
On September 16, 2013, the Company issued a press release, furnished herewith as Exhibit 99.1, announcing the completion and initial production rate of 540 barrels of oil equivalent per day, and peak production rate of 1,105 barrels of oil equivalent per day, from its State 16-7-60 1H well located in the Niobrara formation in Weld County, Colorado, and 482 barrels of oil equivalent per day from its Wickstrom 18-1H well located in the Niobrara formation in Morgan County, Colorado.
