ITEM 1.01 Entry into a Material Definitive Agreement
On November 30, 2006, Commerce Bank, N.A. extended the maturity date of its revolving credit facility with Resorts International Hotel, Inc. to December 4, 2006 in order to enable the parties to finalize the formal documentation to amend the facility. On December 4, 2006 the parties executed the Seventh Amendment to Loan and Security Agreement between Resorts International Hotel, Inc. and Commerce Bank, N.A., which amendment extends the maturity date of the facility to January 31, 2007. The amendment also revises the financial covenants contained in the facility to provide that the company must maintain a minimum EBITDA and must not permit the ratio of total debt to EBITDA to exceed 11.0:1.0.
