Item 1.01. Entry into a Material Definitive Agreement.
On November 23, 2004, Max Re Ltd., a wholly owned subsidiary of the Registrant, entered into a Letter of Credit Reimbursement Agreement (the "Agreement") with ING Bank N.V., London Branch. A copy of the Agreement is attached hereto as Exhibit 10 and is incorporated by reference herein.
