Explanation of Responses:

1. Restricted stock grant of 1,000 shares which will vest in equal annual installments on May 21, 2021 and May 21, 2022.

2. Restricted stock grant of 510 shares in lieu of retainer, 255 of which will vest on May 21, 2021 and 255 of which will vest on May 21, 2022.

3. Mr. Rue is the Chairman of this corporation and holds an approximate 36% ownership interest.
