Item 8.01 Other Events.
On August 15, 2006, Cooper Industries announced the acquisition by Cooper Power Systems, Inc. of Cannon Technologies, Inc., a provider of automation technologies for monitoring, metering and energy management by electrical utilities. Further information regarding the acquisition is set forth in Cooper Industries' press release announcing the acquisition, which is attached as Exhibit 99.1.
