(e) Effective September 24, 2010, the Board of Directors of CarePayment Technologies, Inc., an Oregon corporation (the "Company"), adopted an amendment (the "Amendment") to the CarePayment Technologies, Inc. 2010 Stock Incentive Plan (the "Plan"), to, among other things, increase the number of shares of the Company's Class A Common Stock reserved and available for issuance under the Plan from 878,338 to 1,000,000. The foregoing description of the Amendment is qualified in its entirety by reference to the full text of the Amendment, which is attached hereto as Exhibit 10.1 and incorporated herein by reference.
A summary of the other material terms and conditions of the Plan is set forth in the Company's Current Report on Form 8-K filed with the Securities and Exchange Commission on February 17, 2010.
