Explanation of Responses:

1. 2,500 Restricted Stock Units ("RSUs") will vest over four years beginning November 24, 2016.

2. The RSUs have no expiration. However, all unvested portion of RSUs shall be forfeited and cancelled should the awardee's employment with Nexstar Broadcasting Group, Inc. (the "Company") terminate for any reason other than a Company change of control.
