ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On May 3, 2005, United Online, Inc. (the “Company”) issued a press release announcing its financial results for the quarter ended March 31, 2005, and other financial information. A copy of the press release is furnished as Exhibit 99.1 to this report.
ITEM 8.01. OTHER EVENTS
On May 3, 2005, the Company also announced that its Board of Directors has approved the initiation of a quarterly cash dividend of $0.20 per share of common stock. The first quarterly cash dividend is payable on May 31, 2005 to shareholders of record as of the close of business on May 13, 2005. While the company intends to pay regular quarterly dividends for the foreseeable future, the declaration and payment of future dividends are discretionary and will be subject to determination by the Board of Directors each quarter following its review of the Company’s financial performance.
