On May 8, 2007, Charles S. Hilliard, the President and Chief Financial Officer of United Online, Inc. (the “Company”), submitted his resignation which will be effective on May 31, 2007. Mr. Hilliard informed the Company that he was accepting a position at a private company that was not in direct competition with the Company. Neil P. Edwards, the Company’s Senior Vice President, Finance, Treasurer and Chief Accounting Officer, has been appointed as the Company’s Interim Chief Financial Officer, effective June 1, 2007. Mark R. Goldston, the Company’s Chairman and Chief Executive Officer, will assume the additional title of President, effective June 1, 2007.
