(1) This Registration Statement shall also cover any additional shares of common stock, $0.0001 par value, of the Registrant (“Common Stock”) which become issuable under the Amended and Restated United Online, Inc. 2010 Incentive Compensation Plan (the “Amended Plan”) by reason of any stock dividend, stock split, recapitalization or other similar transaction effected without the Registrant’s receipt of consideration which results in an increase in the number of the outstanding shares of Common Stock.
(2) On August 6, 2010, the Registrant filed a Registration Statement on Form S-8 (the “Original Form S-8”) with the Securities and Exchange Commission (the “Commission) to register 6,833,954 shares of Common Stock under the United Online, Inc. 2010 Incentive Compensation Plan (the “Plan”). The Plan provided for the issuance of up to 23,600,000 shares of Common Stock. On June 13, 2013, at the annual meeting of the Registrant’s stockholders, the stockholders approved the Amended Plan, which amended and restated the Plan and provided, amongst other things, that the number of shares of Common Stock available for issuance under the Amended Plan be increased to 29,250,000 shares. The Amended Plan was filed with the Commission on August 5, 2013 as Exhibit 10.1 to the Company’s Form 10-Q for the quarterly period ended June 30, 2013.
At 11:59 p.m., Eastern time, on October 31, 2013, the Registrant effected a one-for-seven reverse stock split (the “Reverse Stock Split”) of its Common Stock. Subsequently thereafter, as of 12:01 a.m., Eastern time, on November 1, 2013, holders of Common Stock were distributed one share of the common stock, $0.0001 par value, of FTD Companies, Inc., a Delaware corporation (“FTD”), the Registrant’s formerly wholly owned subsidiary, for every five shares of Common Stock they held as of the close of business on October 10, 2013, the record date (prior to giving effect to the Reverse Stock Split) (the “Separation”). The terms of the Amended Plan provide for certain adjustments to be made thereunder upon the occurrence of certain specified events, which such events include the Reverse Stock Split and the Separation. Pursuant to the Reverse Stock Split and the Separation, the number of shares of Common Stock registered under the Original Form S-8 was decreased to 3,578,927 shares.
The Amended Plan filed herewith as Exhibit 99.1 to this Registration Statement has been updated solely to reflect the share adjustments required by the terms of the Amended Plan resulting from the occurrence of the Reverse Stock Split and the Separation and accordingly provides that the number of shares of Common Stock available for issuance under the Amended Plan has been decreased to 15,318,162 shares. Pursuant to the terms of the Amended Plan, such number of shares of Common Stock available for issuance is subject to increase to the extent shares of Common Stock subject to an award under any Predecessor Plan (as defined in the Amended Plan) are forfeited or an award under any Predecessor Plan expires or is settled for cash.
(3) Calculated solely for the purpose of this offering under Rule 457(h) of the Securities Act of 1933, as amended (the “Securities Act”), on the basis of the average of the high and low selling prices per share of the Common Stock on December 17, 2013, as reported on the Nasdaq Global Select Market.

This Registration Statement is being filed by the Registrant, United Online, Inc., a Delaware corporation, pursuant to General Instruction E of Form S-8 under the Securities Act, to register an additional 10,000,000 shares of Common Stock pursuant to the Amended Plan. To the extent not modified or superseded by a statement contained herein, the contents of the Original Form S-8 (No. 333-168634) relating to the Plan are incorporated by reference into this Registration Statement.

The Registrant’s Certificate of Incorporation provides that it will indemnify its officers and directors to the fullest extent authorized or permitted by Delaware law.

Delaware General Corporation Law. Section 145 of the General Corporation Law of the State of Delaware (the “DGCL”) provides that a Delaware corporation may indemnify any persons who were, are or are threatened to be made, parties to any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative (other than an action by or in the right of such corporation), by reason of the fact that such person is or was an officer, director, employee, or agent of such corporation, or is or was serving at the request of such corporation as a director, officer, employee, or agent of another corporation or enterprise. The indemnity may include expenses, including attorneys’ fees, judgments, fines and amounts paid in settlement actually and reasonably incurred by such person in connection with such action, suit or proceeding, provided such person acted in good faith and in a manner he or she reasonably believed to be in or not opposed to the corporation’s best interests and, with respect to any criminal action or proceeding, had no reasonable cause to believe that his or her conduct was illegal. A Delaware corporation may also indemnify any persons who are, were or are threatened to be made, a party to any threatened, pending or completed action or suit by or in the right of the corporation to procure a judgment in its favor by reason of the fact that such person was or is a director, officer, employee, or agent of such corporation, or is or was serving at the request of such corporation as a director, officer, employee, or agent of another corporation or enterprise. The indemnity for such action or suit by or in the right of the corporation may include expenses, including attorneys’ fees, actually and reasonably incurred by such person in connection with the defense or settlement of such action or suit, provided such person acted in good faith and in a manner he reasonably believed to be in or not opposed to the corporation’s best interests, provided further that no indemnification is permitted without judicial approval if the officer, director, employee, or agent is adjudged to be liable to the corporation. Where an officer, director, employee, or agent is successful on the merits or otherwise in the defense of any action referred to above, the corporation must indemnify such person against the expenses which such person has actually and reasonably incurred.
Section 145 of the DGCL further authorizes a corporation to purchase and maintain insurance on behalf of any person who is or was a director, officer, employee, or agent of the corporation, or is or was serving at the request of the corporation as a director, officer, employee, or agent of another corporation or enterprise, against any liability asserted against him or her and incurred by him or her in any such capacity, arising out of his or her status as such, whether or not the corporation would otherwise have the power to indemnify him or her under Section 145 of the DGCL.
Section 102(b)(7) of the DGCL permits a corporation to include in its certificate of incorporation a provision eliminating or limiting the personal liability of a director to the corporation or its stockholders for monetary damages for breach of fiduciary duty as a director, provided that such provision shall not eliminate or limit the liability of a director (1) for any breach of the director’s duty of loyalty to the corporation or its stockholders, (2) for acts or omissions not in good faith or which involve intentional misconduct or a knowing violation of law, (3) under Section 174 of the DGCL (relating to unlawful payment of dividends and unlawful stock purchase and redemption), or (4) for any transaction from which the director derived an improper personal benefit.
Certificate of Incorporation. The Registrant’s Amended and Restated Certificate of Incorporation (“Certificate of Incorporation”) provides that none of its directors will be liable to the Registrant or any of its stockholders for monetary damages for a breach of fiduciary duty, except in the circumstances outlined in the preceding paragraph. The Certificate of Incorporation further provides that it will indemnify its directors and officers to the fullest extent authorized or permitted by law and such right to indemnification will continue as to a person who has ceased to be a director or officer of the Registrant and will inure to the benefit of his or her heirs, executors and personal or legal representatives; provided that, except for proceedings to enforce rights to indemnification, the Registrant will not be obligated to indemnify any director or officer (or his or her heirs, executors or personal or legal representatives) in connection with a proceeding (or part thereof) initiated by such person unless such proceeding (or part thereof) was authorized or consented to by the Registrant’s board of directors. The right to indemnification conferred by the Certificate of Incorporation includes the right to have paid by the Registrant the expenses incurred in defending or otherwise participating in any proceeding in advance of its final disposition.
Bylaws. Pursuant to the Registrant’s Amended and Restated Bylaws (“Bylaws”), the Registrant will, to the fullest extent permitted by Section 145 of the DGCL, indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative (other than an action by or in the right of the Registrant), by reason of the fact that such person is or was a director or officer of the Registrant, or is or was a director or officer of the Registrant serving at the request of the Registrant as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, employee benefit plan or other enterprise, against expenses (including attorneys’ fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by such person in connection with such action, suit or proceeding if such person acted in good faith and in a manner such person reasonably believed to be in or not opposed to the best interests of the Registrant, and, with respect to any criminal action or proceeding, had no reasonable cause to believe such person’s conduct was unlawful.

Additionally, the Bylaws provide that the Registrant will, to the fullest extent permitted by Section 145 of the DGCL, indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending or completed action or suit by or in the right of the Registrant to procure a judgment in its favor by reason of the fact that such person is or was a director or officer of the Registrant, or is or was a director or officer of the Registrant serving at the request of the Registrant as a director, officer, employee or agent of another corporation, partnership, joint venture, trust, employee benefit plan or other enterprise against expenses (including attorneys’ fees) actually and reasonably incurred by such person in connection with the defense or settlement of such action or suit if such person acted in good faith and in a manner such person reasonably believed to be in or not opposed to the best interests of the Registrant; except that no indemnification will be made in respect of any claim, issue or matter as to which such person has been adjudged to be liable to the Registrant unless and only to the extent that the Court of Chancery or the court in which such action or suit was brought determines upon application that, despite the adjudication of liability but in view of all the circumstances of the case, such person is fairly and reasonably entitled to indemnity for such expenses which the Court of Chancery or such other court deems proper.
Insurance. All of the Registrant’s directors and officers are covered by insurance policies maintained and held in effect by the Registrant against certain liabilities for actions taken in their capacities as such, including liabilities under the Securities Act.
Indemnification Agreements. The Registrant has entered into indemnification agreements with each of its directors and certain of its officers that require the Registrant, among other things, to indemnify them against certain liabilities that may arise by reason of their status or service as directors or officers.
