1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of Xenith Bankshares, Inc. common stock.

2. The RSUs will vest in three annual installments as follows: 33.34% on July 29, 2017 and 33.33% on July 29, 2018 and July 29, 2019. Settlement of the RSUs will occur within 30 days of vesting.
