Explanation of Responses:

1. Represents restricted stock units acquired on December 2, 2022, pursuant to a dividend feature under the registrant's equity incentive plans.

2. For estate planning purposes, the reporting person transferred these shares between two entities established by Gregory A. Heckman; the shares referenced herein were transferred from the Gregory A. Heckman Revocable Trust for the benefit of his descendants, u/a/d 04/18/1996, to Gallatin LLC, a limited liability company in which the reporting person, in his capacity as trustee of a trust holding a managing member interest in Gallatin LLC, has voting control and of which trusts for the benefit of his children constitute the only other members. The reporting person disclaims beneficial ownership of the shares held by this revocable trust and by Gallatin LLC, and this report should not be deemed an admission that the reporting person is the beneficial owner of the shares held by the revocable trust or Gallatin, LLC for the purposes of Section 16, or for any other purpose.
