On March 25, 2009, Waccamaw Bankshares, Inc. entered into a change of control agreement with J. Daniel Hardy, Senior Vice President and Chief Lending Officer. The agreement provides that, if Mr. Hardy’s employment is terminated without cause or voluntarily after suffering a “termination event,” such as a reduction in salary, diminution in title, duties or responsibilities, or an office relocation, within 12 months of a change of control, he will be entitled to a change of control payment equal to 299% of his “base amount” as defined by Section 280G of the Internal Revenue Code.
