Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of Alere common stock.

2. On February 16, 2016 the reporting person was granted 7,500 restricted stock units which vest as follows: one-third on the first anniversary of the grant date (2/16/17); one-third on the second anniversary of the grant date (2/16/18); and one-third on the third anniversary of the grant date (2/16/19).

3. On February 16, 2016 the reporting person was granted 21,706 restricted stock units which vest as follows: one-third on the first anniversary of the grant date (2/16/17); one-third on the second anniversary of the grant date (2/16/18); and one-third on the third anniversary of the grant date (2/16/19).

4. The reporting person hereby disclaims ownership of these securities and this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for the purpose of Section 16.

5. These securities are owned by the reporting person's spouse.
