Item 1.01 Entry into a Material Definitive Agreement.
On September 9, 2009, W. R. Berkley Corporation (the “Company”) agreed to sell $300 million aggregate principal amount of its 7.375% Senior Notes due 2019 (the “Securities”). The Securities were offered pursuant to the Prospectus Supplement dated September 9, 2009 to the Prospectus dated November 26, 2008, filed as part of the Registration Statement on Form S-3 (No. 333-155724) that became effective when filed with the Securities and Exchange Commission on November 26, 2008.
Underwriting Agreement
On September 9, 2009, the Company entered into an underwriting agreement with Credit Suisse Securities (USA) LLC as representative of the underwriters named therein, with respect to the offer and sale of $300 million principal amount of the Securities. A copy of the Underwriting Agreement is attached as Exhibit 1.1 hereto.
Sixth Supplemental Indenture
Attached as Exhibits 4.1 and 4.2 hereto are the Indenture relating to Senior Debt Securities, dated as of February 14, 2003, between the Company and The Bank of New York Mellon (formerly The Bank of New York), as trustee (the “Trustee”) (the “Indenture”), and the [form of] Sixth Supplemental Indenture, to be dated as of September 14, 2009 (the “Sixth Supplemental Indenture”), between the Company and the Trustee, respectively.
