Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 15, 2024, John Terwilliger, a director of Houston American Energy Corp. (the “Company”), announced that he will resign as a director of the Company, effective January 1, 2025.
The Company previously announced that Mr. Terwilliger would serve as an advisor to the Company’s Chief Executive Officer (“CEO”) through December 31, 2024. On December 15, 2024, the Company and Mr. Terwilliger agreed that Mr. Terwilliger will remain an advisor to the CEO beyond December 31, 2024, and will serve in such role for an indefinite amount of time.
