On December 14, 2005, SeraCare Life Sciences, Inc. (the “Company”) filed a notification of late filing on Form 12b-25 stating that the Company was unable, without unreasonable effort and expense, to file its annual report on Form 10-K for the fiscal year ended September 30, 2005 within the prescribed time period as the Company retained new auditors effective as of August 22, 2005, and the Company continues to work with its new auditors to complete the audit of the Company’s financial statements and internal control over financial reporting.
As noted in the Form 12b-25, the Company expects to file its annual report on Form 10-K with the Securities and Exchange Commission on or before December 29, 2005.
