First Amendment to Licensing Agreement

ThisFirst Amendmentto LicensingAgreement("FirstAmendment")is to memorializethe agreementbetween PharmaCyte Biotech,Inc.,formerly Nuvilex,Inc.("Licensee")and Austrianova SingaporePte Ltd("Licensor") to amend,effectiveas ofJune30, 2015, theLicensingAgreementbetween the partiesdated as of1 December2014("LicensingAgreement")asfollows. The defined terms intheLicensingAgreementhave thesamemeaningas thetermsinthis FirstAmendment.

A. The Partiesenteredinto the LicensingAgreementto,amongother thingsprovideLicensee withan exclusive worldwidelicense to use theCell-in-a-Box®TrademarkanditsAssociated Technologywithgenetically modifiednon-stemcelllinesspecificallydesignedtoactivatemembersoftheCannabinoidfamilyofmolecules to:(i) conduct research; (ii)have madeby Licensor;(iii)use inpreclinical studies and clinicaltrials;(iv) obtainmarketing approval;(v) andmarketand sellproductsandtreatments utilizingthe Cell-in-a-Box®TrademarkanditsAssociatedTechnologyworld-wide;

B. The LicensingAgreement providesLicenseeshallpay Licensoraninitialpayment ("UpfrontPayment")ofTwo Million Dollars US(USD $2,000,000.00.Itfurtherprovides that Licenseeshallmakeperiodic monthly partialpaymentsofthe Upfront Payment inamountstobe agreedupon between the Parties prior toeach suchpayment being made;provided, however the Upfront Paymentshallbe paidinfullbyno later than June30,2015.;and

C. The Parties desiretoextendthedatebywhich theUpfrontPayment mustbemadebyLicensee.

NOW, THEREFORE,for good and valuable consideration, the receiptandsufficiency of which areherebyacknowledgedby the Parties,theResearch Agreement isherebyamended asfollows:

1.  Section 2.2 of theLicensingAgreement shallbedeleted and the followinginserted in itsplace: "Subjecttothe terms ofthisAgreement,Licenseeshall payLicensor an initialpayment ("Upfront Payment") ofTwoMillionDollars US(USD $2,000,000.00).Licenseeshall make periodicmonthly partialpayments ofthe Upfront Payment inamountstobe agreedupon betweenthe Parties priortoeach such payment beingmade:provided,however,the UpfrontPayment shall be paid infullby nolaterthanDecember31,2015."

2.  Section 8.1.2.ofthe LicensingAgreement shall bedeletedand the following inserted initsplace:"Similarly,theLicensemaybeterminatedand allrightsshallrevert to Licensor ifany of the following eventsdo notoccur withinthetimeframe setforthinthisAgreement providedthat LicensorgivesLicensee thirty(30)days'notice priorto theeffective date of termination andLicensee fails tocurethe followingevents during thethirty(30)dayperiod:(i)if Licenseefailstopay in fulltheUpfront Paymentby December31,2015; (ii) if Licensee doesnotenterintoaresearch programinvolvingtheScope of the Agreement within three (3) years oftheEffectiveDate;or (iii)if Licenseedoesnotenter clinical trials or their equivalent for aProduct withinseven (7) yearsfrom theEffectiveDate."

3.   Except asprovided in thisFirst Amendment,all oftheother provisions ofthe LicensingAgreement shallremain in full forceand effect.
