Explanatory Note
This Current Report on Form 8-K/A (this “Amendment”) amends the Current Report on Form 8-K, filed with the Securities and Exchange Commission on January 25, 2012 (the “Original Filing”), in which Westfield Financial, Inc. (the “Company”) reported that it issued a press release regarding its financial results for the quarter and year ended December 31, 2011. This Amendment is being filed solely to change the Form 8-K reporting item to Item 2.02 rather than Item 8.01 as in the Original Filing. There were no other modifications to the Original Filing.
Item 2.02. Results of Operations and Financial Condition
On January 25, 2012, the Company issued a press release announcing its financial results for the quarter and year ended December 31, 2011. The press release also announced the declaration of a regular cash dividend of $0.06 per share. A copy of the press release is furnished as Exhibit 99.1 hereto and is hereby incorporated by reference into this Item 2.02.
The information contained in this current report on Form 8-K, including Exhibit 99.1, shall not be deemed “filed” with the Securities and Exchange Commission nor incorporated by reference in any registration statement filed by the Company under the Securities Act of 1933, as amended.
