Explanation of Responses:

1. Each restricted stock unit (each, an "RSU") represents the contingent right to receive one share of the Issuer's Common Stock. RSUs may be settled in common stock or cash, at the election of the Issuer.

2. Such RSU's will vest as to 50% of such RSUs on June 1, 2018 and as to the remaining 50% of such RSUs on June 1, 2019, subject to continued service on the board of directors.

3. Such RSUs will vest on the date of the Issuer's annual meeting of stockholders in 2018, subject to continued service on the board of directors.
