Explanation of Responses:

1. The reported securities were formerly held by The Rye, Inc., a corporation which, at the time of the initial filing of this Form 4, was controlled by a grantor trust, of which Mr. Martin was a trustee. On July 30, 2018, The Rye, Inc. distributed the shares of common stock of the Issuer that it held to one of its shareholders, following which Mr. Martin had no common shares of the Issuer to report as indirectly beneficially owned.
