1. Shares forfeited in lieu of taxes upon vesting of restricted stock

2. This transaction relates to the withholding for tax purposes in connection with the vesting and distribution of restricted units.

3. The Shares are held in a trust for which Mr. Storch serves as the trustee.

4. Restricted stock units are payable in shares of common stock on a one-to-one basis.

5. Each RSU represents a contingent right to receive one share of common stock upon settlement. The RSU's vest in four equal installments on August 15th 2020, 2021, 2022 and 2023.
