COMMUNICATION OF RELEVANT INFORMATION
Promotora de Informaciones SA (PRISA) announces the following relevant information, under the provisions of article 82 of Act 24/1988, July 28th, of Securities Market (“Ley del Mercado de Valores”).
Prisa, through its subsidiary Santillana de Ediciones Generales, S.L. (Santillana), has formalized an agreement today with Penguin Random House Grupo Editorial, S.A. for the sale of its trade publishing business for a price of € 72 million.
The transaction consists of the sale of Alfaguara and other Santillana’s literary brands in the 22 countries where it operates. It is excluded from the sale the division of publications catering to the education sector.
The transaction will be completed once the necessary reviews and authorizations are obtained, and the price might be adjusted upward or downward.
By executing this transaction, Santillana will focus its business and investment efforts on the educational division, which already accounts for more than 87% of the company’s revenues.
