Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard.
The Company announced on August 29, 2005 in a press release attached hereto as Exhibit 99.1 that it intends to apply to transfer its listing to The Nasdaq SmallCap Market. The Company had received a Nasdaq Staff Determination on August 23, 2005 indicating that the Company fails to satisfy the market value of publicly held shares requirement for continued Nasdaq National Market listing set forth in Marketplace Rule 4450(a)(2), and that its securities are, therefore, subject to delisting from the Nasdaq National Market.
