ITEM 5.03 Amendments to Articles of Incorporation or Bylaws.
On September 2, 2010, the Board of Directors approved with the consent of a majority of the shareholders an amendment to the Certificate of Incorporation to change the name of the Company to C2E Energy, Inc. The Amended Certificate of Incorporation has been filed with the Secretary of State of Florida. Attached are Exhibit 5.1 The Resolution of the Board of Directors and 5.2 Consent of Stockholders and 5.3 Articles of Amendment

The Board of Directors on September 2, 2010 approved with the consent of a majority of the shareholders the change of name to C2E Energy, Inc, effective September 20, 2010 with no mandatory exchange of certificates.
