Pursuant to the terms of the Second Forbearance Agreement, dated as of April 27, 2020, by and among MFA Financial, Inc. (the "Company") and certain of its repurchase agreement financing counterparties, the Company is contractually prohibited from paying cash fees to its Directors for such period. |
