Item 1.01 Entry into a Material Definitive Agreement.
On July 26, 2006 Avalon Pharmaceuticals, Inc. entered into an agreement with ChemDiv, Inc. for access to ChemDiv's chemical library and for medicinal chemistry support in a collaboration for oncology drug discovery.
