1. Each Restricted Stock Unit represents the contingent right to receive one share of FLDM common stock upon vesting of the unit.

2. On March 23, 2017, the Reporting Person was granted 10,000 Restricted Stock Units of which 25% of the total number of shares underlying the Restricted Stock Units have vested and will continue to vest each anniversary after the date of grant on the same day of the month as the date of grant, subject to continued service as a director.
