Explanation of Responses:

1. These securities awarded on 06/14/2017 are in the form of Restricted Stock Units ("RSUs") that will entitle the Reporting Person to receive one share of Common Stock per one RSU. The RSUs will fully vest on the one year anniversary of the award date, i.e. 06/14/2018.

2. The Reporting Person is the Managing Partner of Voce Capital Management LLC, a holder of 477,031 shares (approximately 3.4%) of the Issuer's outstanding common stock. The Reporting Person disclaims beneficial ownership of the shares owned by Voce Capital Management LLC, except to the extent of his pecuniary interest therein.
