By press release dated April 7, 2005 Dover Downs Gaming & Entertainment, Inc. (the “Company”) announced the passing of Melvin Joseph, one of the Company’s directors, and expressed its deepest sympathies to the Joseph family.
Item 1.02 Termination of a Material Definitive Agreement
As a result of Mr. Joseph’s passing, the Non-Compete Agreement entered into between him and Company effective June 16, 2004 has terminated.
